Terms of Service

Please read these Terms of Service (collectively with Chevereto's Cloud Privacy Policy, Acceptable Use Policy, and DMCA Copyright Policy, the "Terms of Service") fully and carefully before using Chevereto Cloud and the related websites, domains, services, features, documentation, content and applications (the "Service(s)") offered by Chevere SpA ("Chevereto", "we", "us" or "our"). These Terms of Service set forth the legally binding terms and conditions for your use of the Services.

1. Acceptance of Terms

By accessing or using Chevereto Cloud, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization or business, you represent that you have the authority to bind that entity to these Terms, and references to "you" include both you and that entity.

2. Description of Service

Chevereto Cloud is a software-as-a-service (SaaS) platform for media hosting. It enables users to receive, process, organize, and deliver images and other media through their own externally configured storage provider. Chevereto Cloud is a Bring Your Own Storage (BYOS) service: all uploaded files are stored exclusively in the external storage infrastructure you configure. Chevereto does not retain copies of your uploaded media on its own infrastructure.

Features, capabilities, and integrations may be added, modified, or removed at any time. We will make reasonable efforts to communicate material changes in advance.

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under 13, you may not use the Service under any circumstances. If we learn that a user is under 13, we will terminate their account immediately.

The Service is available to individuals and organizations alike; there is no distinction between account types based on entity type.

4. Account Registration

To use the Service you must register for an account. You agree to provide accurate, current, and complete information at registration and to keep it updated. You are solely responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activities that occur under your account, whether or not authorized by you;
  • notifying us immediately at support@chevereto.com if you suspect unauthorized access to your account.

We are not liable for any loss or damage resulting from your failure to protect your account credentials.

5. Free Trial

We offer a 14-day free trial to new users. No payment is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe before the trial expires, your account and all associated data on our infrastructure will be permanently deleted in accordance with Section 7.

We reserve the right to modify or discontinue the free trial offering at any time without notice.

6. Subscriptions, Billing, and Payment

Certain features of the Service require a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected).

Merchant of Record

All payments are processed by Paddle (Paddle.com Market Limited, a company incorporated in England and Wales), who acts as the Merchant of Record for all transactions. By subscribing, you agree to Paddle's Terms of Service and Privacy Policy. We do not have access to your payment card details.

Pricing and Taxes

All prices are displayed exclusive of taxes unless stated otherwise. Applicable taxes (such as VAT or GST) will be added at checkout by Paddle where required by law.

Refund Policy

All payments are final and non-refundable. We do not offer refunds, credits, or pro-rated cancellations for unused portions of a subscription period, except where required by applicable law. If you believe a charge was made in error, contact us at support@chevereto.com and we will review it in good faith.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

7. Account Expiration and Data Deletion

If your paid subscription expires and is not renewed, or if your free trial ends without a subscription, your account will enter a grace period after which it will be permanently deleted along with all associated data stored on our infrastructure. This includes your account profile, configuration, metadata, and any other information held by Chevereto. This action is irreversible.

Because Chevereto Cloud is a BYOS service, your external storage provider and the content stored there are not affected by account deletion. Your files remain in your own storage infrastructure under your own control.

8. User Content and Ownership

You retain full ownership of all content, media, and data you upload, create, or manage through the Service ("User Content"). Chevereto does not claim any license, right, or interest in your User Content.

By using the Service, you represent and warrant that:

  • you own or have the necessary rights and permissions to upload and use your User Content;
  • your User Content does not violate these Terms, our Acceptable Use Policy, our DMCA Copyright Policy, or any applicable law;
  • your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party.

You are solely responsible for your User Content. Chevereto has no obligation to monitor, review, or store your User Content and expressly disclaims any liability arising from it.

9. Bring Your Own Storage (BYOS)

Chevereto Cloud operates under a Bring Your Own Storage model. You are responsible for configuring and maintaining your own external storage provider (such as Amazon S3, Google Cloud Storage, or a compatible S3-compatible service).

Chevereto does not store, retain, or back up your uploaded files. Files transit through our infrastructure transiently during upload processing only and are never retained on our servers.

You acknowledge and agree that:

  • the availability, durability, performance, and security of your stored files is the sole responsibility of your chosen external storage provider;
  • Chevereto is not liable for any data loss, corruption, unavailability, or breach arising from your external storage provider's infrastructure, policies, or failures;
  • you are responsible for understanding and complying with the terms of service of your chosen storage provider;
  • any costs incurred with your storage provider are your sole responsibility.

10. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service in any way that violates applicable laws, infringes the rights of others, or as otherwise prohibited in the Acceptable Use Policy.

11. Intellectual Property

The Service, including its software, design, interfaces, trademarks, logos, and documentation, is the exclusive property of Chevere SpA and its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own lawful purposes and in accordance with these Terms. You may not:

  • copy, modify, or create derivative works of the Service;
  • reverse engineer, decompile, or disassemble any part of the Service;
  • sublicense, sell, resell, transfer, or otherwise exploit the Service commercially without our written permission;
  • remove or alter any proprietary notices or labels on the Service.

12. Suspension and Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without prior notice, if we determine in our sole discretion that you have violated these Terms, our Acceptable Use Policy, or any applicable law.

You may also terminate your account at any time by contacting us at support@chevereto.com.

Upon termination:

  • your access to the Service will be revoked immediately;
  • all data held by Chevereto on our infrastructure associated with your account will be permanently deleted;
  • your external storage provider and the content stored there remain entirely under your control and are not modified or accessed by us.

Termination does not entitle you to any refund of fees already paid.

13. No Data Export

At this time, the Service does not provide a self-service data export feature for account metadata, configuration, or other information held on our infrastructure. If you intend to migrate away from the Service, we recommend you ensure your external storage provider data is organized and accessible before cancellation or termination, as your account data on our systems will be permanently deleted upon expiry.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • the Service will be uninterrupted, error-free, or secure at all times;
  • any errors or defects will be corrected;
  • the Service will meet your specific requirements or expectations.

We do not offer any uptime service level agreement (SLA). We will make commercially reasonable efforts to maintain Service availability but make no guarantees in this regard.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Chevere SpA and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

  • your access to or use of (or inability to use) the Service;
  • any conduct or content of third parties on or via the Service;
  • any failure, loss, or corruption of your data held with your external storage provider;
  • unauthorized access to or alteration of your transmissions or data.

In no event shall Chevereto's total liability to you for all claims arising out of or related to the Service exceed the total amounts paid by you to Chevereto in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Chevere SpA and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms or any applicable law;
  • your infringement of any third-party rights.

17. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Chile, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Concepción, Chile.

Nothing in this clause limits rights you may have under mandatory applicable local law in your country of residence.

18. Changes to Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service prior to the changes taking effect. The date at the top of this page reflects the most recent revision.

Continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and DMCA Copyright Policy, constitute the entire agreement between you and Chevereto regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
